Breaking: Dangote Refinery secures $2.5bn equity raise ahead of planned IPO
The Dangote Petroleum Refinery has officially confirmed the successful completion of a $2.5 billion private placement, describing the fundraising exercise as one of the largest corporate capital raises ever undertaken by an African company and a major milestone in its long-term expansion strategy.
In a statement issued on Thursday, the company said the private placement attracted overwhelming investor interest, achieving 3.7 times subscription relative to the initial offer size, underscoring strong market confidence in the refinery’s growth prospects.
According to the refinery, the transaction resulted in the issuance and allotment of approximately $2.5 billion in new equity, with proceeds earmarked to accelerate the expansion of its refining and petrochemical operations.
“The Private Placement achieved 3.7 times subscription relative to the initial offer size and resulted in the issuance and allotment of approximately US$2.5 billion in new equity,” the company stated.
It added that the funds raised would support the ongoing expansion of the Dangote Petroleum Refinery and Petrochemicals complex as it seeks to increase production capacity and strengthen its position as a major energy supplier across Africa.

President and Chief Executive Officer of Dangote Industries Limited, Aliko Dangote, described the fundraising as a strategic move aimed at broadening the refinery’s shareholder base while complementing existing internal cash flows and external financing.
According to him, the successful capital raise reinforces the company’s commitment to expanding Africa’s domestic refining and petrochemical capacity, reducing dependence on imported petroleum products and enhancing the continent’s energy security.
Managing Director and Chief Executive Officer of Dangote Petroleum Refinery, David Bird, said the strong investor participation reflected confidence in the company’s leadership, operational performance and long-term execution strategy.
The confirmation follows earlier reports that the refinery had secured $2.5 billion through a private placement as part of preparations for a planned Initial Public Offering (IPO) expected later this year.
Market reports in June had valued the Dangote Petroleum Refinery at approximately $39.1 billion as the company sought fresh capital to finance the next phase of its expansion programme.
During the fundraising process, subscriptions reportedly exceeded $2 billion before the offer closed. Investors were required to purchase a minimum of one million shares valued at approximately $350,000, with additional subscriptions available in blocks of 500,000 shares. The shares are also subject to a 365-day lock-up period, according to sources familiar with the transaction.
The successful private placement also aligns with earlier plans by Aliko Dangote to list about 10 per cent of the refinery on multiple African stock exchanges, a move aimed at broadening ownership and raising additional capital for expansion across the group’s industrial businesses.
Investor interest in the planned public offering has continued to grow. Billionaire businessman Femi Otedola recently disclosed plans to invest $100 million in the refinery’s anticipated IPO, describing it as a long-term strategic investment in one of Africa’s most transformative industrial projects.
